2. Description of the Service

Shoot Slayr (provided by Content Slayr Limited) provides an AI-powered, agentic workflow that enables users to generate, modify and enhance content using a combination of third-party large language models, content generation platforms and Content Slayr’s proprietary systems, prompts orchestration logic and tooling.

The Service is provided as an assistive tool only. Outputs are generated automatically and are not reviewed, verified or endorsed by Content Slayr.

The Service may integrate third-party artificial intelligence models and systems provided by external providers. Content Slayr does not control or make representations regarding the datasets used to train such models. Outputs generated through the Service are created algorithmically by these systems based on user inputs and instructions.

You retain ownership of any content, data, prompts, images or materials you upload or submit (“User Content”).

Subject to these Terms, you also own the outputs generated for you by the Service (“Outputs”).

5.2 Licence to Content Slayr

You grant Content Slayr a non-exclusive, worldwide, royalty-free licence to use, process, store and display User Content and Outputs solely for:

  • providing the Service;

You represent and warrant that all User Content you upload, submit or generate through the Service:

  • is owned by you or you have all necessary rights, licences, consents and permissions to use it;
  • does not infringe any intellectual property, privacy, publicity or other third-party rights;

Content Slayr does not verify or obtain such consents and accepts no responsibility for any infringement of privacy, publicity, personality or similar rights arising from your use of the Service.

Outputs generated by the Service may include fictional or synthetic human likenesses created algorithmically by AI systems. These likenesses are not intended to represent real individuals. However, due to the nature of AI systems, generated images may unintentionally resemble real persons. Content Slayr makes no representation that generated likenesses will not resemble real individuals and you are solely responsible for determining whether an Output depicting a person may require permissions, releases or other legal clearances before use.

6. Outputs and Commercial Use

6.1 Ownership of Outputs

Subject to these Terms, you own all right, title and interest in and to the content you provide to the Service ('Input') and the specific content generated for you by the Service based on those Inputs ('Output'). Content Slayr hereby assigns to you all its right, title and interest (if any) in and to such Output for your commercial use. Commercial use licenses are granted for outputs generated using any paid Credit Pack, including initial account purchases and subsequent Add-on top-ups.

Due to the nature of artificial intelligence systems, the Service may generate identical or similar outputs for multiple users. Content Slayr does not guarantee that outputs will be unique.

6.2 Regulatory and Ethical Use Disclaimer

You acknowledge that the use of AI-generated content may be subject to advertising laws, consumer protection rules, industry standards, professional obligations and ethical considerations.

You are solely responsible for determining whether any Output is appropriate, lawful, ethical or compliant for your intended use (including regulated activities, safety-sensitive contexts or public communications).

Content Slayr does not provide legal, regulatory or professional advice and accepts no responsibility for your decision to use Outputs in any particular context.

Content Slayr does not perform legal review, rights clearance, model releases, property releases or trademark searches for any Outputs. If Outputs are used in advertising, marketing or commercial contexts, you are responsible for ensuring that all necessary rights, permissions and legal clearances have been obtained.

7. Intellectual Property of Content Slayr

All rights, title and interest in the Service, including software, workflows, models, prompts orchestration logic, branding and documentation, remain the exclusive property of Content Slayr or its licensors.

You must not copy, modify, distribute or create derivative works from the Service except as expressly permitted.

8. Third-Party Services

The Service integrates third-party platforms and AI providers. Content Slayr is not responsible for the availability, accuracy or performance of third-party services.

Your use of third-party services may be subject to separate terms.

The Service may rely on third-party artificial intelligence models, APIs and infrastructure providers. Content Slayr does not control and makes no representations regarding the training data, datasets or methodologies used to develop such models. Your use of Outputs generated through these systems remains subject to your obligations under these Terms.

9. Fees, Credits, and Payment

9.1 One-Time Purchases

The Service operates on a prepaid, credit-based model. All fees for Starter Packs, Pro Packs and Studio Pack access are billed in advance as one-time payments. There are no recurring subscriptions or automatic billing cycles.

Purchasing a new Credit Pack adds the new credit allotment to your existing account balance to create a unified credit pool. This allows you to top up your account at any time and retain all previously purchased credits.

While Credit Packs are subject to expiry as set out in Section 10, your account itself is non-expiring.

9.2 Credit Consumption and Resolution

One "generation" corresponds to the consumption of credits from your account balance based on the output resolution:

  • 1K Resolution: 1 credit per generation
  • 2K Resolution: 2 credits per generation
  • 4K Resolution: 3 credits per generation

9.3 Iterative Nature of AI

You acknowledge that AI image generation is an iterative process. Credits are consumed at the moment of generation regardless of the subjective quality, accuracy or technical artifacts of the Output. Content Slayr does not provide credit refunds for individual generations that do not meet user expectations.

9.4 Pricing Changes

We may change the pricing for future Credit Packs at any time. Any price changes will not affect the balance of credits already purchased and held in your account.

10. Expiry and Termination

10.1 Pack Validity and Expiry

Each Credit Pack is subject to a specific validity period:

  • Starter Pack: Valid for 3 months from the date of purchase.
  • Pro Pack: Valid for 6 months from the date of purchase.
  • Studio Pack: Valid for 12 months from the date of purchase.

Upon the expiration date, any unused credits are forfeited and cannot be recovered. Content Slayr will attempt to provide email reminders 30 days and 7 days prior to expiry.

10.2 Credit Stacking and Rolling Expiry

You may purchase and stack multiple Credit Packs. When a new pack is purchased:

  • Credit Pooling: All new credits are added to your existing balance to create a single, unified pool.
  • Expiry Extension: The system will automatically apply the furthest available expiry date among all your active packs to your entire unified balance. For example, if you have 1 month remaining on a previously purchased Studio Pack and you purchase a new Starter Pack with a 3-month validity, your entire unified credit balance will adopt the new 3-month expiry window from the date of the most recent purchase.

10.3 Cancellation and Refunds

As there are no recurring subscriptions, "cancellation" refers to the cessation of your use of the Service. Except as required by the New Zealand Consumer Guarantees Act 1993, all fees are strictly non-refundable once the Credit Pack has been purchased.

10.4 Termination for Breach

We may suspend or terminate your access immediately, without refund, if you breach these Terms. Including the commercial use of watermarked Free Tier Outputs or misuse of the Service.

10.5 Chargebacks

If you initiate a chargeback or payment dispute for a valid Credit Pack purchase, we reserve the right to immediately terminate your account and permanent access to all previous User Content and Outputs.

11. Disclaimer – “As Is”

The Service is provided “AS IS” and “AS AVAILABLE”.

A 'non-expiring' account refers to the removal of automated subscription cancellation logic and does not constitute a guarantee of indefinite service availability or a 'lifetime' warranty of the platform's operation.

To the maximum extent permitted by law, Content Slayr disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.

We do not guarantee that Outputs will be accurate, reliable or suitable for any purpose.

Iterative Nature: You acknowledge that AI generation is iterative. Credits are consumed for every generation regardless of subjective quality or technical artifacts (e.g., lighting or anatomy).

12. Limitation of Liability

12.1 Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with the Service (whether in contract, tort or otherwise) is limited to the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

12.2 Exclusion of Loss

We will not be liable for any loss of profits, loss of data or any indirect or consequential loss.

12.3 Business Use and Consumer Rights

If you are using the Service for the purposes of a business, you agree that the guarantees and remedies provided in the New Zealand Consumer Guarantees Act 1993 do not apply. If you are an international user, you acknowledge that the Service is provided from New Zealand and, to the maximum extent permitted by the laws of your jurisdiction, you waive any local consumer protections that conflict with these Terms.

‍

13. Indemnification

You agree to indemnify, defend and hold harmless Content Slayr Limited, its directors, officers, employees, contractors and licensors from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising out of or relating to:

  • your User Content or Inputs;
  • your prompts, instructions or use of the Service;
  • your use, publication, distribution or commercial exploitation of Outputs;
  • any allegation that your User Content or Outputs infringe intellectual property rights, privacy rights, publicity rights, personality rights or other third-party rights; or
  • your breach of these Terms or applicable laws.

This indemnity applies regardless of whether the Output was generated automatically by the Service.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction.
